1. What ClarAudit Is
ClarAudit is an information tool that helps businesses assess their obligations under the EU Artificial Intelligence Act (Regulation (EU) 2024/1689). It applies a structured decision framework derived from the published text of the regulation to information you provide about your business and its use of AI systems.
ClarAudit is not a law firm, legal practice, or regulated advisory service. The assessments, classifications, and documents it produces do not constitute legal, regulatory, or professional advice. They are informational outputs based on your inputs and the text of the regulation. Use of ClarAudit does not create an attorney-client, fiduciary, or any other professional-client relationship between you and Sotekna.
2. What ClarAudit Is Not
ClarAudit does not guarantee regulatory compliance. The accuracy of its outputs depends on the accuracy and completeness of the information you provide. It does not replace professional legal counsel, particularly for ambiguous situations, high-risk classifications, or enforcement proceedings.
Where the regulation is ambiguous or where your situation may require professional interpretation, ClarAudit will flag this explicitly and recommend that you consult a qualified legal professional.
3. Eligibility
By using ClarAudit, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the authority to accept these terms on behalf of yourself or the business entity you represent.
4. Your Responsibilities
By using ClarAudit, you agree that:
- You will provide accurate and complete information about your business and its AI systems to the best of your knowledge.
- You understand that ClarAudit's outputs are based solely on the information you provide and the published text of Regulation (EU) 2024/1689.
- You are responsible for reviewing the generated documents and confirming their accuracy before relying on them for compliance purposes.
- You will seek professional legal advice for any situation where ClarAudit flags ambiguity or where you are uncertain about your obligations.
5. AI Disclosure and Output Disclaimer
In accordance with Article 50 of the EU AI Act, we disclose that ClarAudit uses artificial intelligence in the following way: compliance documents (risk assessments, transparency notices, vendor inquiry templates, monitoring checklists, and action plans) are generated with the assistance of a large language model. The AI receives structured data from your completed audit and the text of the regulation, and produces formatted document content.
The risk classification itself is not AI-driven. It is determined by a deterministic decision engine — a rules-based system coded directly from the articles and annexes of Regulation (EU) 2024/1689. Every classification is traceable to specific articles of the regulation.
While the classification logic is deterministic and rules-based, the compliance documents are generated by AI and may contain errors, omissions, or formatting inconsistencies. You are responsible for reviewing all generated documents for accuracy before relying on them.
6. No Data Retention
ClarAudit does not store your data. Your responses, classifications, and generated documents exist only during your active session. Once you close the browser or your session expires, all data is deleted. No database of customer information is maintained.
ClarAudit has no ability to recover your documents after your session ends. It is your sole responsibility to download and securely store your compliance pack immediately after generation. The operator cannot recover lost documents under any circumstances.
7. Payment and VAT
ClarAudit's compliance documentation pack is a one-time purchase priced in euros (€). Payment is processed securely through Stripe.
For customers within the European Union:
- Business customers (B2B): If you provide a valid EU VAT identification number during checkout, the reverse charge mechanism applies and no VAT is added to your purchase.
- Consumer customers (B2C): VAT is charged at the rate applicable in your EU member state, calculated and collected automatically.
For customers outside the European Union, no EU VAT is applied.
All prices shown on the website are exclusive of VAT unless otherwise stated. The applicable VAT amount, if any, will be displayed clearly before you confirm payment.
8. Refunds
Please refer to our Refund Policy for details on our refund terms, including the consent to immediate delivery and the associated waiver of the 14-day withdrawal right under the EU Consumer Rights Directive.
9. No Warranty
ClarAudit is provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Sotekna does not warrant that the tool will be uninterrupted, error-free, or that any defects will be corrected.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Sotekna's total aggregate liability arising from your use of ClarAudit — whether in contract, tort, or otherwise — is limited to the amount you actually paid for the service.
In no event shall Sotekna be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to regulatory fines, penalties, legal costs, lost profits, loss of data, or business losses arising from reliance on ClarAudit's outputs.
11. Third-Party Services
ClarAudit relies on third-party services for its operation, including AI providers for document generation and payment processors for transactions. Sotekna is not responsible for service interruptions, errors, or failures caused by third-party providers or internet infrastructure beyond its control.
12. Force Majeure
Sotekna shall not be liable for any delay or failure to perform its obligations under these terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, service outages of third-party providers, internet disruptions, or changes to the underlying regulation.
13. Intellectual Property
The compliance documents generated by ClarAudit are yours to use for your business purposes. You may modify, distribute internally, and share them with your legal advisors, auditors, and regulators as needed.
The ClarAudit platform, decision framework, user interface, and underlying software remain the intellectual property of Sotekna.
14. Amendments
These terms may be updated from time to time. The "Last updated" date at the top of this page indicates the most recent revision. Continued use of ClarAudit after changes are posted constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes arising from your use of ClarAudit shall be subject to the exclusive jurisdiction of the courts of Ontario.
If you are a consumer residing in the European Union or in another jurisdiction with mandatory consumer protection laws, nothing in these terms deprives you of the protection afforded by the mandatory provisions of the laws of your country of residence.
